Every ERISA retirement plan has a plan administrator named in the document. Unless someone else was formally appointed, that person is your company — usually an owner, CFO or HR director who never agreed to personal fiduciary exposure. Admin316 takes that named role.

What the ERISA plan administrator is legally responsible for

Reporting and disclosure

Filing the Form 5500 with the required schedules, issuing the Summary Annual Report, furnishing the SPD and Summary of Material Modifications, and responding to participant document requests within 30 days. ERISA penalties for late or missing disclosure run against the plan administrator personally, not the recordkeeper.

Operating the plan by its own terms

Applying eligibility, entry dates, the plan’s definition of compensation, vesting and forfeitures exactly as written. Most audit findings are not fraud — they are a plan operated differently from the document nobody re-read after the last restatement.

Claims, distributions and QDROs

Deciding benefit claims under a reasonable claims procedure, approving distributions, loans and hardships, and qualifying domestic relations orders. These are discretionary fiduciary acts, which is precisely why they should not sit with an untrained employee.

Timely deposits and corrections

Remitting deferrals as soon as they can reasonably be segregated, and correcting failures through EPCRS or VFCP rather than waiting for the DOL to find them.

Named administrator vs. someone who does the paperwork

The default is you

If your plan document names “the Employer” as plan administrator, then your company holds the role no matter how much work a TPA performs. Outsourcing tasks does not outsource the duty.

An ERISA 3(16) appointment moves the role

Admin316 is appointed in the plan document as the ERISA 3(16) plan administrator and, where you choose, as 402(a) named fiduciary. We accept that in writing, perform the duties and sign the filing. That appointment is the transfer — nothing else is.

What stays with the employer

Selecting and monitoring Admin316, funding the plan, and adopting or amending the plan remain your settlor and sponsor duties. We are direct about that line up front.

Frequently asked questions

Who is the plan administrator of a 401(k) plan?

It is whoever the plan document names. In most plans that is the employer itself, which makes the owner or an officer the responsible fiduciary. It is not the recordkeeper and usually not the TPA, unless a 3(16) administrator has been formally appointed.

What is the difference between a plan administrator and a plan sponsor?

The plan sponsor is the employer that adopts and funds the plan. The plan administrator is the ERISA fiduciary that operates it and handles reporting and disclosure. The same company usually holds both roles by default, which is what an ERISA 3(16) appointment separates.

Can the ERISA plan administrator role be outsourced?

Yes. ERISA 3(16) permits a person other than the sponsor to be designated as plan administrator in the plan document. Admin316 accepts that designation, performs the duties and signs the Form 5500 as plan administrator.

Does an ERISA plan administrator sign the Form 5500?

Yes. The plan administrator signature line on the Form 5500 is a fiduciary act made under penalty of perjury. When Admin316 is appointed, that signature is ours.
